Terms of Use

1. The KonektSignal Services

KonektSignal provides construction-market and opportunity intelligence designed to help businesses discover, research, evaluate, monitor, and pursue potential construction opportunities. Information may include project and procurement signals, permits, public records, company information, professional contact information, source-derived facts, normalized data, alerts, matching information, scores, and AI-assisted analysis.

KonektSignal is an intelligence and research platform. We are not a general contractor, subcontractor, supplier, project owner, architect, engineer, broker, attorney, financial adviser, procurement authority, or party to transactions that users may pursue as a result of information obtained through the Services.

2. Accounts and Organizations

Certain Services require an account. You agree to provide accurate, current, and complete account information and to keep your credentials secure. You are responsible for activity conducted through your account, except to the extent caused by KonektSignal's failure to meet its obligations under applicable law.

Accounts may belong to or operate within an organization. Organization owners and administrators may manage organization settings, members, billing, opportunity preferences, and access rights. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Free and Paid Access

KonektSignal may offer free access, subscriptions, one-time passes, temporary access rights, promotional access, or other plans. The features, scope, duration, geographic coverage, opportunity coverage, and price applicable to a purchase are those presented to you at the time of purchase.

Some products provide access for a limited period or to a limited opportunity, geography, market, trade, or other defined scope. Access outside that scope is not included merely because you have purchased another KonektSignal product.

4. Billing, Payments, and Renewals

Prices are displayed before purchase and, unless otherwise stated, are denominated in U.S. dollars. Payments may be processed by third-party payment providers. You authorize the applicable payment provider and KonektSignal to process charges associated with your purchase, including applicable taxes where required.

If you purchase a recurring subscription, it will renew according to the billing interval and terms disclosed at checkout until canceled. Cancellation stops future renewals but does not ordinarily terminate access already paid for during the current billing period. One-time or time-limited passes expire according to the access period disclosed at purchase and do not automatically extend unless expressly stated.

Except where required by law or expressly stated at purchase, fees already paid are non-refundable. Billing questions may be sent to billing@konektsignal.com.

5. Opportunity Intelligence and Source Data

Construction opportunities can change rapidly. Project scope, participants, schedules, procurement status, estimated values, locations, contacts, and other facts may be incomplete, revised, delayed, withdrawn, superseded, or reported differently by different sources.

KonektSignal seeks to preserve source evidence and distinguish source-derived information from analysis, but we do not guarantee that every item of information is complete, current, error-free, or suitable for a particular business decision. Users should review available evidence and independently verify material information with the relevant owner, agency, contractor, procurement authority, or other authoritative source before relying on it.

6. AI-Assisted Features

The Services may use artificial intelligence and automated systems to organize information, match opportunities, generate assessments, identify signals, score relevance, assist research, summarize evidence, or support communications and other workflows.

AI-generated or AI-assisted output may contain errors and is not a statement of guaranteed fact unless separately supported by identified evidence. Scores, rankings, predictions, recommendations, project stages, procurement assessments, and similar outputs do not guarantee that a project will proceed, that a contract will be awarded, that a company will purchase a product or service, or that any particular business outcome will occur.

7. Professional and Contact Information

The Services may contain business and professional information obtained from public sources, official sources, licensed providers, company websites, or other lawful sources. Such information is provided for legitimate business research and opportunity-development purposes.

You are responsible for ensuring that your use of contact information and any communications you initiate comply with applicable laws, regulations, consent requirements, opt-out requirements, and industry rules, including laws governing commercial email, telephone calls, and electronic communications.

8. Acceptable Use

You may not use the Services to:

• violate applicable law or the rights of another person or entity;
• engage in fraud, impersonation, harassment, abuse, or deceptive conduct;
• send unlawful spam or unsolicited communications;
• introduce malware or interfere with the security or operation of the Services;
• circumvent access controls, usage limits, paywalls, or authorization mechanisms;
• access another user's account or organization without authorization;
• systematically scrape, crawl, harvest, copy, extract, or download the Services or KonektSignal datasets through automated means without our written authorization;
• resell, sublicense, publish, redistribute, or commercially exploit KonektSignal intelligence or datasets except as expressly authorized by KonektSignal;
• reverse engineer the Services except to the limited extent such restriction is prohibited by applicable law; or
• use the Services to build, train, benchmark, or operate a competing construction-intelligence dataset, service, or product without our written authorization.

9. KonektSignal Intellectual Property

KonektSignal and its licensors retain all rights in the Services, software, interfaces, designs, trademarks, branding, proprietary workflows, compilations, models, scoring systems, and other KonektSignal-created materials. These Terms do not transfer ownership of KonektSignal intellectual property to you.

Subject to these Terms and your applicable plan, KonektSignal grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal legitimate business purposes during your authorized access period.

10. Your Content

You retain ownership of information and content that you submit to the Services. You grant KonektSignal the rights reasonably necessary to host, process, transmit, display, secure, and otherwise use that content to provide, maintain, protect, and improve the Services.

You represent that you have the rights and permissions necessary to provide content you submit and that doing so does not violate law or third-party rights.

11. Third-Party Services and Sources

KonektSignal may rely on or link to third-party services, public agencies, data providers, payment processors, infrastructure providers, communication providers, websites, and other external sources. Those services are controlled by their respective providers and may be subject to separate terms and privacy practices.

The inclusion of third-party information or a link does not by itself imply endorsement, partnership, sponsorship, or affiliation.

12. Suspension and Termination

You may stop using KonektSignal at any time. We may restrict, suspend, or terminate access when reasonably necessary to address nonpayment, security risks, unlawful activity, material violations of these Terms, misuse of the Services, or risks to KonektSignal, our providers, users, or third parties.

Provisions that by their nature should survive termination, including intellectual property, payment obligations, disclaimers, limitations of liability, and applicable dispute provisions, will survive.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." KONEKTSIGNAL DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES THAT THE SERVICES OR INFORMATION WILL ALWAYS BE AVAILABLE, COMPLETE, ACCURATE, CURRENT, SECURE, OR ERROR-FREE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KONEKTSIGNAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, OPPORTUNITIES, OR GOODWILL ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KONEKTSIGNAL'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO KONEKTSIGNAL FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain warranty exclusions or limitations of liability, so portions of these limitations may not apply to you.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless KonektSignal LLC and its officers, members, employees, and agents from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Services, your material violation of these Terms, your content, or your violation of third-party rights.

16. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

17. Changes to These Terms

We may update these Terms as the Services, laws, or business practices evolve. We will post the updated Terms and revise the effective date. When required by applicable law, we will provide additional notice of material changes. Continued use after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.

18. General Terms

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except where applicable law provides otherwise. KonektSignal may assign these Terms in connection with a merger, acquisition, reorganization, financing, or transfer of its business or assets.

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a purchased product or written agreement, constitute the agreement between you and KonektSignal regarding the Services covered by them.
